3. Service Agreements and Project Scope
The scope of each project will be agreed between the Company and the customer.
A project may include details such as:
- Services to be provided;
- Deliverables;
- Project timeline;
- Fees;
- Payment schedule;
- Number of revisions; and
- Customer responsibilities.
Any work requested outside the agreed scope may be treated as additional work and may be subject to additional fees and delivery time.
4. Customer Responsibilities
The customer agrees to provide all information, content, materials, approvals, access credentials, and instructions reasonably required for us to provide the Services.
The customer is responsible for ensuring that any content or materials supplied to us, including text, images, videos, logos, designs, documents, data, software, or other materials, are legally owned by the customer or properly licensed for use.
The customer must not provide any material that infringes the intellectual property, privacy, or other legal rights of another person or entity.
5. Project Timelines
We will make reasonable efforts to complete projects within the agreed timeline.
However, project timelines may be affected by delays in receiving information, approvals, feedback, access, or materials from the customer; changes to the project scope; third-party service interruptions; technical issues; or events outside our reasonable control.
If the customer delays providing required materials, information, access, or approvals, the project deadline may be extended.
6. Fees and Payment
The applicable fees for our Services will be stated in the relevant quotation, proposal, invoice, or agreement.
Unless otherwise agreed in writing:
- The customer must pay according to the agreed payment schedule;
- Work may begin after the required advance payment has been received;
- Additional work outside the agreed scope may incur additional charges; and
- Third-party costs may be charged separately where applicable.
Applicable taxes, including VAT where legally applicable, may be added to the relevant fees.
We reserve the right to suspend or pause Services if payments are overdue.
7. Refunds and Cancellation
If a customer wishes to cancel a project or service, the customer should contact us in writing.
Because digital services may involve work specifically performed for an individual customer, refunds may depend on the stage of the project, work already completed, costs already incurred, third-party expenses, and the applicable service agreement or refund policy.
Any approved refund will be processed according to the applicable agreement and applicable law.
Nothing in these Terms is intended to exclude or limit any mandatory consumer rights that apply under applicable UAE law.
8. Revisions and Changes
The number of revisions included in a project will be stated in the relevant quotation or agreement.
Additional revisions or changes outside the agreed scope may result in additional fees, additional delivery time, or a revised quotation.
A significant change to the original requirements may be treated as a new project.
9. Intellectual Property
Unless otherwise agreed in writing:
- The Company’s pre-existing tools, systems, templates, code libraries, processes, methodologies, and know-how remain the property of the Company;
- Upon full payment, the customer may receive rights to the final deliverables specifically created for the customer, subject to the agreed project terms; and
- Third-party software, plugins, fonts, stock images, APIs, and other third-party materials remain subject to their respective licences and terms.
We retain the right to use general skills, knowledge, experience, techniques, and methodologies developed or acquired while providing our Services.
10. Customer Content
The customer retains ownership of content and materials supplied to us.
The customer grants us a limited licence to use, reproduce, modify, and process such materials only to the extent reasonably necessary to provide the agreed Services.
The customer confirms that it has the necessary rights and permissions to provide such materials to us.

Our Services may depend on third-party services, including hosting providers, domain registrars, cloud platforms, software providers, APIs, payment processors, advertising platforms, social media platforms, plugins, and other technology providers.
Third-party services may have their own terms, fees, policies, limitations, and availability.
We are not responsible for changes, interruptions, suspension, or failure of third-party services that are outside our reasonable control.
12. Website and Service Availability
We will make reasonable efforts to provide reliable Services.
However, we do not guarantee that our website or Services will always be available, uninterrupted, error-free, completely secure, or free from technical problems.
We may temporarily suspend access for maintenance, upgrades, security reasons, technical issues, or other circumstances outside our reasonable control.

Digital-service results may depend on many factors outside our control.
17. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, consequential, or business losses, including loss of profits, loss of revenue, loss of business opportunities, loss of data, loss of goodwill, or business interruption.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
18. Indemnification
You agree to indemnify and hold harmless NAJM ALEBDAA TECHNOLOGY LLC, its directors, employees, contractors, affiliates, and service providers from claims, losses, damages, liabilities, costs, and expenses arising from your breach of these Terms, unlawful use of our Services, violation of third-party rights, content or materials supplied by you, or misuse of our website or Services.
19. Suspension and Termination
We may suspend or terminate your access to our Services if you fail to make required payments, breach these Terms, provide false or misleading information, use our Services for unlawful purposes, create a legal, security, or reputational risk, or if continued provision of the Services is not legally or commercially possible.
Termination does not remove any payment obligations for Services already provided.
20. Force Majeure
We shall not be responsible for delays or failure to perform our obligations caused by events beyond our reasonable control, including natural disasters, war, government actions, internet or telecommunications failures, cyberattacks, power failures, third-party service failures, epidemics, pandemics, or other extraordinary circumstances.

We may update these Terms from time to time.
The updated version will be published on this page with a revised “Last Updated” date.
Your continued use of our website or Services after changes are published may constitute acceptance of the updated Terms.
